These Terms of Service (“Terms”) govern your access to and use of vertexhealthlabs.com (the “Site”) and your purchase of products from Vertex Health Labs (“Vertex,” “we,” “us,” or “our”). By using the Site or placing an order, you agree to these Terms. If you do not agree, do not use the Site.

1. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding contract. By using the Site, you represent and warrant that you meet these requirements and that all information you provide is accurate. We may require identity and age verification before accepting an order and may refuse or cancel any order that cannot be verified.

2. Research Use Only

All products sold by Vertex are intended solely for laboratory and in vitro research use by qualified professionals. They are not drugs, foods, dietary supplements, cosmetics, or medical devices, and they are not for human or veterinary consumption, ingestion, injection, self-administration, or any clinical or therapeutic use. Our products have not been evaluated or approved by the U.S. Food and Drug Administration and are not intended to diagnose, treat, cure, or prevent any disease. We make no medical or efficacy claims of any kind.

By purchasing, you represent that you are acquiring products for legitimate research purposes only, that you are qualified and authorized to handle them, and that you will store, use, and dispose of them in compliance with all applicable laws and regulations. You assume all responsibility and liability for the handling and use of products you purchase. Products are not for resale to the general public.

3. Products, Availability, and Pricing

We strive to describe products accurately, but we do not warrant that descriptions, images, or other content are complete or error-free. Products are subject to availability, and we may limit quantities, discontinue products, or correct errors in descriptions or pricing at any time. All prices are in U.S. dollars and are subject to change without notice. If a product is listed at an incorrect price, we may cancel or decline the order.

4. Orders and Acceptance

Your submission of an order is an offer to purchase. We reserve the right to accept, decline, limit, or cancel any order for any lawful reason, including suspected fraud, inability to verify identity or age, payment issues, or product unavailability. No order is final until we accept it and payment is received.

5. Identity and Age Verification

As a condition of purchase, you may be required to verify your identity and age, including by providing your date of birth, country, and a government-issued photo ID. We may refuse or cancel orders that cannot be verified. Information you provide is handled in accordance with our Privacy Policy.

6. Payment

We currently accept payment by Zelle and bank transfer (ACH), and other methods we may make available. When you place an order, it is held pending payment, and we will provide payment instructions, including the amount due and the order number to reference. Your order is processed only after payment is received and reconciled. You are responsible for following the payment instructions exactly, including referencing your order number, so that your payment can be matched to your order. Title and risk of loss are addressed in the shipping section below.

7. Shipping and Delivery

We ship after payment is received and your order is verified. Estimated delivery times are not guaranteed. You are responsible for providing an accurate, complete shipping address; we are not responsible for orders delayed or lost due to incorrect address information. Risk of loss passes to you upon our delivery of the products to the carrier.

8. Returns and Refunds

Unopened products in their original sealed condition may be returned for a refund within 7 days of delivery. Any product that has been opened, unsealed, or used is non-refundable and non-returnable. Damaged, defective, or incorrect items, refund methods, and timing are addressed in our Refund Policy, which is incorporated into these Terms by reference.

9. Acceptable Use

You agree not to use the Site or products unlawfully or in any way that could damage, disable, or impair the Site; to attempt to gain unauthorized access to any systems; to misrepresent your identity or intended use; or to purchase for any purpose prohibited by these Terms or applicable law.

10. Intellectual Property

The Site and its content, including text, graphics, logos, and the Vertex Health Labs name and marks, are owned by or licensed to us and are protected by intellectual-property laws. You may not copy, reproduce, or use them without our prior written permission.

11. Disclaimers

The Site and products are provided “as is” and “as available” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Site will be uninterrupted or error-free.

12. Limitation of Liability

To the fullest extent permitted by law, Vertex and its officers, members, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss arising out of or relating to the Site, the products, or any misuse of the products, even if advised of the possibility of such damages. Our total liability for any claim relating to a product will not exceed the amount you paid for that product. Because our products are for research use only, you assume all risk and liability arising from any use of the products, and you agree we are not responsible for any harm resulting from use that violates these Terms.

13. Indemnification

You agree to indemnify and hold harmless Vertex from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Site or products, your violation of these Terms, or your violation of any law or the rights of any third party, including any use of products contrary to the research-use-only restriction.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or your purchases will be resolved by binding arbitration administered in Sheridan County, Wyoming, on an individual basis, and you waive any right to participate in a class action, to the fullest extent permitted by law. If arbitration is found not to apply, the state and federal courts located in Sheridan County, Wyoming will have exclusive jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date above reflects the most recent version. Your continued use of the Site or placing of orders after changes take effect constitutes acceptance of the updated Terms.

16. Severability and Entire Agreement

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Site and your purchases.
